Kathryn’s practice focuses on representing privately held businesses in a variety of industries through all stages of growth. Her practice synthesizes various elements of corporate, transactional, business entity formation, financings, securities, commercial contracts, equity incentives, and income tax law to provide results driven sound advice, with a positive and pragmatic approach. She is experienced with California limited liability companies, partnerships, C and subchapter S corporations, professional corporations, joint ventures, and statutory trusts. Her expertise includes business formation, corporate governance, traditional and alternative debt and equity financing, stock and asset sales and acquisitions, mergers, reorganizations, securities, and franchise law. Kathryn has a wealth of experience drafting and negotiating customer, vendor, distributor, and other business contracts, terms and conditions, and proposals both domestic and international.
